TERMS OF SALE / WEBSITE DEVELOPMENT AGREEMENT

1) Scope of Project. 247Designs.com will design a website based on the product that you order. Your product number is included in your client invoice.
*  All text, links, navigational links, photographs, logo / graphic content etc will be provided by client. 247DESIGNS.COM will provide a list of what is needed if desired.
*  No Ongoing maintenance will be provided in this contract. Ongoing maintenance after the initial design approval will be charged at $100 per hour. Maintenance includes updating of text, links, photographs, changes to graphics, etc.

2) Website Hosting. Website hosting will be included for 1 year from the date of your purchase. Continued hosting will be charged at: $200.00 per year, per domain or the current rate as displayed on the website. Parked domains are free of charge. If the site is moved to a different host provider 247DESIGNS.COM provides no guarantee on the operation or functionality of the website.

3)     Domain Registration. Domain registration is available for purchase at the listed rate on the website. Registrations are for a period of 1yr unless multiple years are purchased at one time. It is the client's responsibility to make sure their domain is registered and current. 247Designs.com is not responsible for expiration of domain outside of our system or for domain that are not paid for prior to expiration from us.

4)     Project Completion. Each project is different. The current timeframe for site completion is posted on the website. If the client has any questions about the timeframe they should be addressed prior to check out.

5) Authorization. The above-named Client (hereinafter referred to as "Client") is engaging 247Designs.com as an independent contractor for the specific purpose of designing a World Wide Web site (hereinafter referred to as "Web Design Project").

6) Development. This web design project will be developed using various commercial software products and proofed by hand. While 247Designs.com will make reasonable efforts to design a fully functional website, 247Designs.com warrantee does not cover AOL, text-based browsers or requested special effects that we have advised against.

7) Browser Compatibility. Designing a website to fully work in multiple browsers (and browser versions) can require considerable, extra effort. It could also involve creating multiple versions of code/pages. 247Designs.com represents and warrants that the website we design for you will work in Microsoft Internet Explorer versions 7+ and Mozilla Firefox 2+. While 247Designs.com will make reasonable efforts to design a fully functional website, 247Designs.com' warrantee does not cover AOL, text-based browsers or requested special effects that we have advised against or that have not been specifically ordered.

8) Assignment of Web Design Project. 247Designs.com reserves the right, and you hereby agree, to assign subcontractors to this Web Design Project to insure that the terms of this agreement are met as well as on-time completion.

9) Copyrights and Trademarks. The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to 247Designs.com for inclusion in the Web Design Project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend 247Designs.com and its subcontractors from any liability (including attorney's fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client.

10) Website Maintenance. This agreement allows for minor website maintenance to pages over a 12 month period including updating links and making minor changes to a sentence or paragraph. It does not include replacing nearly all the text from a page with new text, major page reconstruction, new pages, guest books, discussion webs, navigation structure changes, attempted updates by Client repairs or Web Design Projects delivered to Client via diskette. The period of 12 months begins on the date of this contract.

11) Completion Date. 247Designs.com and the Client must work together to complete the Web Design Project in a timely manner. We agree to work expeditiously to complete the Web Design Project no later than 30 days after Client has submitted all necessary materials. If the Client does not supply 247Designs.com with complete text and graphics content for this Web Design Project within 60 days of the effective date this agreement, the entire deposit amount of the agreement shall be retained by 247Designs.com as liquidated damages and the contract shall become null and void, at 247Designs.com' option, unless the Web Design Project is cancelled in writing by the Client prior to 60 days of the effective date of the agreement.

12) Project Delivery. The final website design project will be published to: 247Designs.com's server, Client's hosting service, or delivered via CD / DVD after receipt of full payment.

13) Web Design Project Copyright. 247Designs.com will own copyright to the finished web design site produced by 247Designs.com. The Client will be assigned rights to use the Web Design Project as a website, once final payment under this agreement and any additional charges incurred have been paid. Rights to photos, graphics, source code, work-up files, and computer programs are specifically not transferred to the Client, and remain the property of their respective owners. 247Designs.com and its subcontractors retain the right to display graphics and other Web design elements as examples of their work in their respective portfolios. All Web Design Projects will contain a copyright/legal statement with a link to 247Designs.com Web Site.

14) Payments. Payments must be made promptly based on the terms of this Website Design Project. 247Designs.com reserves the right to remove any Web Design Project from viewing on the Internet until final payment is made. In case collection proves necessary, the Client agrees to pay all fees (including all attorney's fees and court costs) incurred by that process. This agreement becomes effective only when signed by 247Designs.com. Regardless of the place of signing of this agreement, the Client agrees that for purposes of venue, this agreement was entered into in Hendricks County, Indiana, and any dispute will be litigated or arbitrated in Hendricks County, Indiana, and the Client hereby consents to the personal jurisdiction of the Indiana State Courts. Furthermore, the Client waives any right to or claim of sovereign immunity. All payments will be made in U.S. Dollars.

15) Payment Schedule. Payment for services provided hereby shall be made in accordance with the conditions contained in this contract.The Client and 247Designs.com agree that the services described in this contract shall be completed for the amount as stated in the invoice / shopping cart All amounts must be in U.S. Dollars. There will be no refunds. All disputes must be filed through the online ticketing system, and we will make every effort to remedy the situation. Credit Card charge backs will be considered fraud and appropriate legal action will take place.

16) This Agreement. This agreement constitutes the sole agreement between 247Designs.com and the Client regarding this Web Design Project. Any additional work not specified in this contract or any other amendment or modification to this contract must be authorized by a written request signed by both Client and 247Designs.com. All prices specified in this contract will be honored for 12 months after both parties sign this contract. Continued services after that time will require a new agreement.

17) Signature.The undersigned hereby agree to the terms, conditions and stipulations of this agreement on behalf of his or her organization or business.This Agreement constitutes the entire understanding of the parties. Any changes or modifications thereto must be in writing and signed by both parties.
